Terms of Service

These terms and conditions apply to the Jelly AI mobile application and web application at jellyai.chat (collectively referred to as "Application") created by Jelly AI (hereby referred to as "Service Provider") as a Freemium service.

1. Acceptance of Terms

By downloading, accessing, or using the Application, you agree to be bound by these Terms of Service. Please read and understand them before using the Application. If you do not agree to these terms, do not use the Application. These Terms constitute a legally binding agreement between you and the Service Provider.

2. Eligibility

You must be at least 18 years old to use Jelly AI. By using the Application, you represent and warrant that you are at least 18 years of age. The Application contains adult content and is not intended for anyone under the age of 18. If we discover that a user is under 18, their account will be terminated immediately.

3. AI-Generated Content

All characters in Jelly AI are fictional and AI-generated. Conversations, images, videos, and voice content are created by artificial intelligence and do not represent real people. The AI is not sentient, is not a real person, and does not form a real relationship with you. You acknowledge that AI responses may sometimes be inaccurate, inappropriate, or unexpected and should be treated as fiction. AI-generated content is provided for entertainment purposes only and must not be relied upon as factual information or as professional advice of any kind, including medical, legal, financial, psychological, or therapeutic advice. The Service Provider accepts no liability for any loss, direct or indirect, arising from your reliance on AI-generated content. Jelly AI is not a mental health service, crisis helpline, or substitute for professional counseling or for real human relationships. If you are experiencing a mental health crisis or having thoughts of self-harm, please stop using the Application and contact your local emergency services or a crisis helpline immediately.

4. User Content and License

By submitting content to the Application (including text messages, chat prompts, voice messages, custom scenarios, and any other user inputs), you grant the Service Provider a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display such content solely to operate, secure, support, and provide the Jelly AI service to you. This license ends when you delete the relevant content or your account, except for copies retained in routine backups for a limited period or as required by law, and except for de-identified, aggregated data. We do not sell your personal content, and we do not use your private conversations or generated images to train AI models unless you give separate, explicit, opt-in consent. You retain ownership of your original content. For content generated for you by the AI based on your inputs, the Service Provider grants you a personal, non-exclusive, non-transferable license to use that content for your own personal, non-commercial purposes, and reserves all commercial rights. You acknowledge that purely AI-generated output may not be eligible for copyright protection and that the same or similar output may be generated for other users. You represent and warrant that you have the right to submit any content you provide and that it does not infringe any third-party rights or violate any applicable law.

5. Intellectual Property

Unauthorized copying or modification of the Application, any part of the Application, or our trademarks is strictly prohibited. Any attempts to extract the source code of the Application, translate the Application into other languages, or make derivative versions are not permitted. All trademarks, copyrights, database rights, and other intellectual property rights in the Application, its software, branding, and underlying AI models remain the property of the Service Provider. As between you and the Service Provider, rights in content generated by the AI are allocated as set out in Section 4 (User Content and License).

6. User Conduct and Prohibited Activities

You agree not to: use Jelly AI for any unlawful purpose or in violation of any applicable laws or regulations; attempt to reverse-engineer, decompile, disassemble, or exploit the service or its underlying technology; share or distribute AI-generated content in ways that violate applicable laws; impersonate real people or create misleading content that could be mistaken for real persons; use the Application to generate non-consensual intimate imagery (NCII) or deepfakes depicting real individuals; use AI-generated content to harass, threaten, defame, or harm any real person; attempt to generate content depicting minors in any sexual or inappropriate context; use automated systems, bots, or scripts to access or interact with the Application; circumvent or attempt to circumvent any content filters, safety measures, or access restrictions; resell, redistribute, or commercially exploit any AI-generated content without express written permission; or use the Application to engage in any form of illegal activity, including but not limited to fraud, exploitation, or distribution of illegal content.

7. Subscriptions and Purchases

Jelly AI offers in-app purchases and subscriptions managed as a Freemium service. Payments are processed through the Apple App Store, Google Play Store, or other authorized payment processors. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. You can manage and cancel your subscription through your device's app store settings. Refunds are subject to the respective store policies; the Service Provider does not process refunds directly. The Service Provider reserves the right to modify subscription pricing, subscription tiers, and the features or credit allocations included with each subscription plan at any time. Any pricing changes to existing subscriptions will take effect at the start of your next billing cycle. The Service Provider will provide reasonable advance notice of material pricing changes via the Application, email, or app store notifications. For users in the European Union, you acknowledge that digital content delivery begins immediately upon purchase and you waive your right to a 14-day cooling-off period to the extent permitted by law.

8. Credits System

Jelly AI uses a credit system for certain features, including AI-generated photos, videos, and voice content. Credits are a limited, personal, revocable license to access digital features; they are not your property, are not a stored-value or payment instrument, and have no monetary or "real-world" value. The Service Provider reserves the right to modify the credit system at any time, including the number of free credits provided, the number of credits included with subscription plans, credit costs for individual features, and the introduction or removal of credit-based features. Free credits are provided at the Service Provider's discretion and may be adjusted without prior notice. Purchased credits are non-transferable, cannot be exchanged for cash, and do not expire while your account remains active. Purchased credits are non-refundable, except (a) where a refund is required by applicable consumer-protection law, or (b) as a good-faith courtesy if, within 14 days of purchase, you contact [email protected] regarding a credit pack you have not used. Upon termination of your account for your material breach of these Terms, unused credits may be forfeited. If the Service Provider terminates your account without cause, we will refund unused purchased credits to the extent required by applicable law.

9. Account Termination and Suspension

The Service Provider may suspend your account temporarily if we reasonably suspect a violation of these Terms, and will notify you of the reason for suspension where possible. Suspension may be lifted once the issue is resolved. The Service Provider may permanently terminate your account for: repeated or serious violations of these Terms of Service, violation of content policies involving illegal content or harm to others, engaging in prohibited activities as described in Section 6, fraudulent or abusive behavior, or continued failure to pay for subscription services after notice. Upon account termination for cause: your access to the Application will be revoked; any unused purchased credits will be forfeited. Upon voluntary account deletion: your access will be revoked; any unused purchased credits will be forfeited (we recommend using credits before requesting deletion). In all cases: your personal data will be handled in accordance with our Privacy Policy (including retention periods for legal compliance); active subscriptions should be cancelled through the respective app store to prevent further charges. You may request account deletion at any time by contacting [email protected]. If you believe your account was terminated in error, you may appeal by contacting [email protected] within 30 days of termination and we will review your case.

The Application utilizes third-party services that have their own Terms and Conditions. Below are the links to the Terms and Conditions of the third-party service providers used by the Application:

11. Device Security and Connectivity

It is your responsibility to keep your device and access to the Application secure. The Service Provider advises against jailbreaking or rooting your device, as it may expose your device to malware and compromise the Application's security features. The Service Provider is not responsible for the Application not working at full functionality if you do not have access to an internet connection. If you are using the Application outside of a Wi-Fi area, your mobile network provider's terms still apply, and you may be charged for data usage including roaming charges.

12. Content Moderation

We implement content filters and automated moderation to ensure compliance with our content policies and applicable laws. We reserve the right to review, restrict, remove, or refuse any content and to restrict or terminate accounts that violate our content policies. Content moderation decisions are made at our sole discretion. While we strive to enforce our policies consistently, we do not guarantee that all prohibited content will be detected or removed.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Jelly AI is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Service Provider does not warrant that the Application will be uninterrupted, error-free, or secure. The Service Provider accepts no liability for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Application, including but not limited to emotional distress from AI interactions, loss of data, loss of credits due to service disruptions, or reliance on AI-generated content. In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability for certain damages, the Service Provider's liability shall be limited to the maximum extent permitted by law. To the maximum extent permitted by applicable law, the total aggregate liability of the Service Provider arising out of or relating to the Application or these Terms shall not exceed the greater of (a) the total amounts you paid to the Service Provider in the twelve (12) months before the event giving rise to the claim, or (b) USD 100. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Service Provider and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: your use of the Application, your violation of these Terms of Service, your violation of any rights of any third party, any content you submit through the Application, or your violation of any applicable laws or regulations. This indemnity applies only to the extent the claim arises from your unlawful use of the Application, your infringement of third-party rights, or your breach of these Terms, and only to the extent permitted by applicable law. Where you use the Application as a consumer, this Section applies only insofar as it is not prohibited by the mandatory consumer-protection law of your country of residence.

15. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Subject to the mandatory rights described below and any binding arbitration agreement in Section 16, disputes arising out of or relating to these Terms or your use of the Application shall be subject to the non-exclusive jurisdiction of the state and federal courts located in Delaware, United States. Nothing in this Section deprives you of any mandatory consumer-protection rights, or of the right to bring proceedings in the courts of your country of residence, granted to you under the law of the country where you live.

16. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will endeavor to resolve your complaint within 30 days. Binding arbitration and class-action waiver (United States residents): If you reside in the United States and a dispute is not resolved informally within 30 days, you and the Service Provider agree that the dispute will be resolved exclusively by binding individual arbitration administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court, except that either party may bring an individual claim in small-claims court. To the fullest extent permitted by law, you and the Service Provider waive any right to a jury trial and any right to bring or participate in a class, collective, consolidated, or representative action. You may opt out of this arbitration agreement and class-action waiver by emailing [email protected] within 30 days of first accepting these Terms; opting out will not affect any other provision of these Terms. This arbitration agreement and class-action waiver do not apply where prohibited by applicable law. Consumers in the European Union, the United Kingdom, Turkey, and other jurisdictions where such provisions are not enforceable retain their right to bring proceedings before the competent courts of their country of residence, and may submit complaints to their local consumer-protection authority or competent alternative dispute resolution body.

17. Force Majeure

The Service Provider shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions or restrictions, power failures, internet or telecommunications failures, third-party service provider outages (including AI model providers and cloud infrastructure), cyberattacks, or any other force majeure events.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and the Service Provider regarding your use of the Application, and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral, relating to the subject matter hereof.

20. Changes to Terms

The Service Provider may update these Terms of Service from time to time. We will notify you of material changes by updating the effective date at the top of these Terms, displaying a notice within the Application, or by other appropriate means. You are advised to review these Terms regularly. Continued use of the Application after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any changes, you should stop using the Application. The Service Provider may also cease providing the Application at any time.

21. Fraud Prevention and Refund Abuse

We monitor purchase and refund activity to detect abuse. Accounts that demonstrate patterns consistent with refund fraud — including but not limited to refunding consumable content shortly after consuming it, repeatedly refunding purchases, or alternating between purchases and refunds — may be suspended without notice. Credits and entitlements obtained via purchases that are subsequently refunded will be revoked. We reserve the right to deny promotional pricing and future purchases to accounts with refund-abuse history.

22. Prohibited Content and Zero-Tolerance Policy

Jelly AI maintains a strict zero-tolerance policy toward child sexual abuse material (CSAM) and the sexualization of minors. You must not create, request, upload, share, or attempt to generate any content that depicts, describes, or sexualizes a minor, that is designed to make any character appear to be a minor, or that depicts a real person aged down to appear underage. You must not create, request, or share non-consensual intimate imagery (NCII) or sexual deepfakes of any real, identifiable person, including public figures. We use automated and human moderation to detect such content. Where we identify a violation, we will remove the content, suspend or terminate the responsible account, preserve relevant records, and report apparent CSAM to the National Center for Missing & Exploited Children (NCMEC) and/or competent law-enforcement authorities as required by applicable law. 23. Copyright, Takedown, and DSA Notices

If you believe content made available through the Application infringes your copyright or other intellectual property rights, please send a notice to [email protected] that includes: identification of the protected work; identification of the allegedly infringing material and where it is located; your contact details; a statement that you have a good-faith belief the use is not authorized; and a statement that the information in your notice is accurate. We will respond to valid notices, including by removing infringing material and, in appropriate cases, terminating repeat infringers. Users in the European Union may use the same contact address as our point of contact for notices under the EU Digital Services Act (DSA); we will act on valid notices and, where we remove or restrict content you provided, give you a statement of reasons where required by law.
